This Privacy Policy for Instrumentum, LLC, and its subsidiaries (“we,” “us,” or “our“), describes how and why we might access, collect, store, use, and/or share (“process“) your personal information when you use our website or otherwise submit personal information to us, including when you:

- Engage with us in other related ways, including by submitting your name and/or email address via our website, providing your information to us at any marketing or events, or exchanging SMS/text messages with company phone numbers

WHAT INFORMATION DO WE COLLECT?
Personal information you disclose to us
We collect personal information that you voluntarily provide to us when you express an interest in obtaining information about us or our products and services, when you visit our website, when you provide your name, email and/or other personal information via a webform, telephone or SMS/text messaging, or otherwise when you contact us.
Personal Information Provided by You. The personal information that we collect depends on the context of your interactions with us and our website, the choices you make, and the products and features you use. The personal information we collect may include the following:
- names
- phone numbers
- email addresses
- job titles
- contact or authentication data
- queries or comments about our services
Sensitive Information. We do not process sensitive information.
Customer Information. When interacting with us personally or through phone calls, emails or SMS/texts on behalf of a customer, you may provide us with information regarding your organization and the services we provide. Note that if this information relates to an existing customer, it may be subject to contractual provisions regarding confidentiality and document retention which would override the provisions of this policy in such cases. In such cases, we may also provide access to this information to others within your organization in connection with providing services to that customer or responding to customer inquiries.
All personal information that you provide to us must be true, complete, and accurate, and you must notify us of any changes to such personal information. Note that we do not require or process any protected health information (PHI) as such term is defined in the Health Information Portability and Accountability Act and the rules and regulations promulgated thereunder (HIPAA). You should not include any PHI in any of your communications with us.

PROCESSING YOUR INFORMATION
We process your personal information for a variety of reasons, depending on how you interact with our website or our personnel, including:
- To respond to user inquiries/offer support to customers and potential customers. We may process your information to respond to your inquiries and to put you in contact with someone to discuss our services or resolve issues.
- To deliver and facilitate delivery of services to the user. In some cases, we may process your information to contact you to discuss our services, although you should contact your Instrumentum contact directly with such questions, as submission through our website may not be received and/or reviewed in a timely manner for these items.
- To evaluate and improve our products, services marketing, and your experience. We may process your information when we believe it is necessary to identify usage trends, determine the effectiveness of our promotional campaigns, and to evaluate and improve our products, services, marketing, and your experience.
SHARING YOUR PERSONAL INFORMATION
We may need to share your personal information in the following situations:
- Business Transfers. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.

We may use cookies and similar tracking technologies (like web beacons and pixels) to gather information when you interact with our website. Some online tracking technologies help us maintain the security of our website, prevent crashes, fix bugs, save your preferences, and assist with basic site functions.

HOW LONG WE KEEP YOUR INFORMATION?
Because we only collect limited information and it may be useful to have in the future, we may keep your information perpetually. We may also be required to retain certain information for certain retention periods if required or permitted by law (such as tax, accounting, or other legal requirements) or contractual requirements. Some information submitted to us may relate to providing services to existing customers, in which case such information may be subject to contractual provisions regarding confidentiality and document retention. We may share such information with others in your organization in connection with providing services or responding to customer inquiries.
WE DO NOT COLLECT INFORMATION FROM MINORS
We do not knowingly collect, solicit data from, or market to children under 18 years of age, nor do we knowingly sell such personal information. By using the website or submitting information via the website, you represent that you are at least 18 or that you are the parent or guardian of such a minor and consent to such minor dependent’s use of the website. If we learn that personal information from users less than 18 years of age has been collected, we will take reasonable measures to promptly delete such data from our records. CONSENTING TO SMS/TEXT MESSAGING
Your consent to SMS/text messaging is not a condition of purchase or access to our services. By consenting to SMS/text messaging service (which may be done by providing your phone number for these purposes and/or affirmatively indicating you opt-in to SMS/Text Messaging via one of our forms or links), you agree to receive SMS/text messages from and on behalf of Instrumentum through your wireless provider to the mobile number you have provided, even if your mobile number is registered on any state or federal Do Not Call list. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Communications may be generated by and/or sent to this number via our communication platforms (which currently include Salesforce and RingCentral).
Although we do not charge for receiving or sending messages, you may be subject to message and data rates from your cellular provider or other third parties on messages sent via SMS/text messaging. Instrumentum uses third-party services (i.e., RingCentral, Salesforce) in generating and sending certain types of SMS/text messages and your consent constitutes your agreement for use of such third-party platforms to send messages on our behalf.
SCOPE OF SMS/TEXT MESSAGE COMMUNICATIONS
When you provide your phone number and/or otherwise opt-in to receiving SMS/Text messaging from Instrumentum, you agree that we may send you text messages for one or more of the following categories (as applicable):
- Conversational/Service SMS: Information that you request or that relates to the ongoing engagement of your organization with us.
- Informational SMS: Reminders, alerts, confirmations, updates about our products, services, support, events, etc.
- Marketing/Promotional SMS: Offers, campaigns or other promotional content where you have given express consent.
FREQUENCY OF SMS/TEXT MESSAGING
The frequency of SMS/text messaging may vary. If you are utilizing SMS/text messaging, the frequency will depend on: (i) the frequency of your questions and requests to Instrumentum and the number of messages required to respond to those requests and any follow-up questions, and (ii) the need for updates, information and information requests from Instrumentum related to your services. The frequency of Informational and Marketing/Promotional SMS/text messages will also vary but it is not anticipated to be more frequent than once per week for each category.
PRIVACY AND SMS/TEXT MESSAGING
In general, the same concerns and provisions of our privacy policy apply to SMS/text messages, although you should be aware that the privacy concerns apply with respect to your organization (i.e., our customer) and not to any person individually. Information in SMS/text messages will be used in connection with servicing the customer and may be relayed to others in our organization for further assistance or information, may be categorized as customer records and retained in accordance with applicable record retention policies and may be provided to others in your organization in connection with future record requests or if helpful in providing assistance. Please be aware that SMS/text messaging is subject to hacking and interception as are other forms of communication.
As with other means of communicating with us, you should never include any protected health information (PHI) as defined in the Health Information Portability and Accountability Act (HIPAA). We do not need any PHI in connection with providing our services.
OPTING OUT/REVOKING CONSENT FOR SMS/TEXT MESSAGING
You may withdraw your consent to receiving SMS/Text Messaging for your phone number by replying STOP or UNSUBSCRIBE to any SMS/Text Message you receive and, if applicable, following further opt-out instructions provided via reply message.
YOUR PRIVACY RIGHTS?
Withdrawing your consent: If we are relying on your consent to process your personal information, which may be express and/or implied consent depending on the applicable law, you have the right to withdraw your consent at any time. You can withdraw your consent at any time by contacting us by using the contact details provided below.
However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, when applicable law allows, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.
Cookies and similar technologies: Most Web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove cookies and to reject cookies. If you choose to remove cookies or reject cookies, this could affect certain features or services of our website.

CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this Privacy Policy.
California law requires us to let you know how we respond to web browser DNT signals. Because there currently is not an industry or legal standard for recognizing or honoring DNT signals, we do not respond to them at this time.
SPECIFIC PRIVACY RIGHTS FOR UNITED STATES RESIDENTS
If you are a resident of California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, or Virginia, you may have the right to request access to and receive details about the personal information we maintain about you and how we have processed it, correct inaccuracies, get a copy of, or delete your personal information. Categories of Personal Information We Collect
We may collect data via cookies on our website or through third party services (such as Google analytics), which may include the IP number, geolocation and other information regarding the computer or device through which you are visiting our website, certain behavior while visiting our website (such as number of times pages are visited, browsing behavior, etc.). In addition, our website may provide the ability for you to submit certain basic information (such as name, email address, phone number, the organization you are employed by, your role with such organization, other basic information about you or your organization and, in some cases, your query or request). This information is retained so long as needed to process and respond to your query. We may also retain your name, email address and/or phone number for future reference as someone potentially interested in contact regarding services or updates regarding our company and the services we provide.
We may also collect other personal information outside of these categories through instances where you interact with us in person, online, or by phone, SMS/text or mail in the context of:
- Receiving help through our customer support channels or your Instrumentum contacts;
- Participation in customer surveys; and
- Facilitation in the delivery of our services and to responding to your inquiries.
Such information will be retained as long as needed to review and process such information. In some cases, it may be retained longer in order to provide records regarding services provided to you or your organization. Additionally, we may be required to retain such information for certain periods of time by legal and regulatory requirements (including, without limitation, contractual requirements regarding document/data retention in connection with our services).
Will your information be shared with anyone else?
We may disclose your personal information with our service providers pursuant to a written contract between us and each service provider in order to enable them to provide services to us. We may use your personal information for our own business purposes, such as for undertaking internal research for technological development and demonstration. This is not considered to be “selling” of your personal information.
We have not disclosed, sold, or shared any personal information to third parties for a business or commercial purpose in the preceding twelve (12) months. We will not sell or share personal information in the future belonging to website visitors, users, and other consumers (although we may transfer such information to a third party in connection with a sale of all or substantially all of our assets or a merger involving our company).
If you represent an organization, information you have submitted may be shared with other members of your organization in connection with providing our services or responding to inquiries from your organization.
Your Rights
You have rights under certain US state data protection laws. However, these rights are not absolute, and in certain cases, we may decline your request as permitted by law. These rights include:
- Right to know whether or not we are processing your personal data
- Right to access your personal data
- Right to correct inaccuracies in your personal data

- Right to obtain a list of specific third parties to which we have disclosed personal data (as permitted by applicable law, including the privacy law in Minnesota and Oregon)
- Right to obtain a list of third parties to which we have sold personal data (as permitted by applicable law, including the privacy law in Connecticut)
- Right to review, understand, question, and depending on where you live, correct how personal data has been profiled (as permitted by applicable law, including the privacy law in Connecticut and Minnesota)
- Right to limit use and disclosure of sensitive personal data (as permitted by applicable law, including the privacy law in California)
- Right to opt out of the collection of sensitive data and personal data collected through the operation of a voice or facial recognition feature (as permitted by applicable law, including the privacy law in Florida)

Under certain US state data protection laws, you can designate an authorized agent to make a request on your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on your behalf in accordance with applicable laws.
Request Verification
Upon receiving your request, we will need to verify your identity to determine you are the same person about whom we have the information in our system. We will only use personal information provided in your request to verify your identity or authority to make the request. However, if we cannot verify your identity from the information already maintained by us, we may request that you provide additional information for the purposes of verifying your identity and for security or fraud-prevention purposes.
If you submit the request through an authorized agent, we may need to collect additional information to verify your identity before processing your request and the agent will need to provide a written and signed permission from you to submit such request on your behalf.
Appeals
Under certain US state data protection laws, if we decline to take action regarding your request, you may appeal our decision by emailing us at legal@instrumentum.com. We will inform you in writing of any action taken or not taken in response to the appeal, including a written explanation of the reasons for the decisions. If your appeal is denied, you may submit a complaint to your state attorney general.
California “Shine The Light” Law
California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. If you are a California resident and would like to make such a request, please submit your request in writing to us by using the contact details provided below.
